Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you ("Customer," "you," or "your") and GTMStack, Inc., a Delaware corporation ("GTMStack," "we," "us," or "our"), governing your access to and use of the GTMStack platform, including all associated services, software, APIs, and documentation (collectively, the "Service") available at https://gtmstack.app.

1. Agreement to Terms

By accessing or using the Service, clicking "I Agree," or otherwise indicating acceptance of these Terms, you agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms, and references to "you" or "Customer" shall refer to that organization. If you do not agree to these Terms, you must not access or use the Service.

You must be at least 18 years of age or the age of legal majority in your jurisdiction to use the Service. By using the Service, you represent that you meet this requirement.

2. Description of Service

GTMStack provides a go-to-market (GTM) operations platform designed to streamline and automate revenue operations workflows. The Service is available in two deployment models:

  • Cloud-Hosted: A fully managed, multi-tenant software-as-a-service offering hosted and maintained by GTMStack on our cloud infrastructure.
  • Self-Hosted (Enterprise): A licensable version of the platform that Customer may deploy and operate on its own infrastructure or private cloud environment, subject to the additional terms in Section 9.

The Service includes, but is not limited to, the following capabilities:

  • SDR Operations: Tools for managing sales development representative workflows, lead routing, sequencing, and outbound campaign orchestration.
  • Content Operations: Content creation, management, distribution, and performance tracking across GTM channels.
  • Analytics: Dashboards, reporting, attribution modeling, and data visualization for GTM performance metrics.
  • AI Automation: Machine learning and artificial intelligence features for workflow automation, lead scoring, content generation, and predictive analytics.

GTMStack reserves the right to modify, enhance, or discontinue features of the Service at any time, provided that material reductions in core functionality during an active subscription term will be communicated with at least thirty (30) days' prior notice.

3. Account Registration & Security

To use the Service, you must create an account by providing accurate, current, and complete registration information. You agree to update your account information promptly to keep it accurate and complete at all times.

You are responsible for:

  • Maintaining the confidentiality of your account credentials, including passwords and API keys.
  • All activities that occur under your account, whether authorized or unauthorized.
  • Notifying GTMStack immediately at legal@gtmstack.app upon becoming aware of any unauthorized access to or use of your account.
  • Implementing appropriate access controls when granting team members access to your organization's account, including role-based permissions and multi-factor authentication where available.

GTMStack will not be liable for any loss or damage arising from your failure to safeguard your account credentials. We reserve the right to suspend or disable accounts that we reasonably believe have been compromised.

4. Subscription Plans & Payment

The Service is offered through modular subscription plans that allow you to select and pay for the specific capabilities your organization requires. Pricing details for each module are published on our pricing page and may be updated from time to time.

  • Billing Cycles: Subscriptions are available on a monthly or annual billing basis. Annual subscriptions are billed in advance for the full year and may include a discount compared to monthly billing.
  • Payment Terms: All fees are due in advance and are non-refundable except as expressly provided in these Terms. Payment must be made via a valid credit card, ACH transfer, or other payment method accepted by GTMStack.
  • Taxes: All fees are exclusive of applicable taxes, levies, and duties. You are responsible for paying all such charges, excluding taxes based solely on GTMStack' net income.
  • Late Payments: Overdue balances may accrue interest at a rate of 1.5% per month or the maximum rate permitted by applicable law, whichever is lower. GTMStack reserves the right to suspend access to the Service for accounts with overdue balances exceeding thirty (30) days.
  • Early Access & Lifetime Discounts: From time to time, GTMStack may offer early access pricing, lifetime discounts, or promotional rates to select customers. Such offers are subject to their own specific terms, are non-transferable, and apply only for the duration and scope expressly stated at the time of the offer. GTMStack reserves the right to modify or discontinue promotional pricing for new subscribers at any time without affecting existing promotional agreements.
  • Price Changes: GTMStack may adjust subscription pricing upon thirty (30) days' written notice. Price changes will take effect at the start of your next billing cycle following the notice period. If you do not agree to a price change, you may cancel your subscription before the new pricing takes effect.

5. Free Tier & Trial

GTMStack may offer a free tier or time-limited trial of the Service, subject to the following terms:

  • Limitations: Free tier and trial accounts are subject to usage limitations, including but not limited to restrictions on the number of users, contacts, API calls, data storage, and available features. These limitations are described on the applicable plan page.
  • No Service Level Commitment: Free tier and trial accounts are not covered by the Service Level Agreement described in Section 10. GTMStack may limit, throttle, or deprioritize free tier usage at its sole discretion.
  • Trial Expiration: Upon expiration of a trial period, your account will be converted to the free tier (if available) or suspended unless you subscribe to a paid plan. GTMStack will provide reasonable notice before trial expiration.
  • Data Retention: If a free tier or trial account remains inactive for ninety (90) consecutive days, GTMStack may delete the account and all associated data upon thirty (30) days' written notice.
  • Conversion to Paid: You may upgrade from a free tier or trial to a paid subscription at any time. Upon conversion, billing will commence immediately for the selected plan and billing cycle.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes and in accordance with these Terms. You shall not, and shall not permit any third party to:

  • Spam & Unsolicited Communications: Use the Service to send unsolicited bulk messages, spam, or communications in violation of applicable anti-spam laws, including the CAN-SPAM Act, GDPR, and CASL. All outbound communications initiated through the Service must comply with applicable opt-in and opt-out requirements.
  • Illegal Activity: Use the Service for any purpose that is illegal, fraudulent, or harmful, or in connection with any illegal, fraudulent, or harmful activity, including but not limited to money laundering, terrorist financing, or the trafficking of illegal goods or services.
  • Reverse Engineering: Reverse engineer, decompile, disassemble, or otherwise attempt to derive the source code, algorithms, or underlying architecture of the Service or any part thereof, except to the limited extent that applicable law expressly prohibits this restriction.
  • Circumventing Security: Attempt to bypass, disable, or circumvent any security features, access controls, authentication mechanisms, or usage limits of the Service, including but not limited to rate limiting, subscription tier restrictions, and license enforcement.
  • API Rate Limits: Exceed the API rate limits applicable to your subscription plan, use automated means to artificially inflate usage metrics, or engage in any activity designed to degrade, disrupt, or overload the Service's infrastructure.
  • Unauthorized Access: Access or attempt to access accounts, systems, or data belonging to other customers or to GTMStack without authorization.
  • Harmful Content: Upload, transmit, or store any content that contains malware, viruses, trojan horses, or other harmful code, or that is defamatory, obscene, or otherwise objectionable.
  • Competitive Use: Access the Service for the purpose of building a competing product or service, or to benchmark the Service for competitive analysis without GTMStack' prior written consent.
  • Resale: Resell, sublicense, or redistribute access to the Service to third parties without a written reseller or partner agreement with GTMStack.

GTMStack reserves the right to investigate and take appropriate action against any violation of this Acceptable Use Policy, including suspension or termination of your account without notice or refund.

7. Intellectual Property

GTMStack Ownership: The Service, including all software, code, algorithms, machine learning models, user interfaces, designs, documentation, trademarks, and all related intellectual property, is and remains the exclusive property of GTMStack and its licensors. These Terms do not grant you any right, title, or interest in the Service except for the limited right to use it in accordance with these Terms. All rights not expressly granted herein are reserved by GTMStack.

Customer Ownership: You retain all right, title, and interest in and to all data, content, and materials that you submit, upload, or otherwise make available through the Service ("Customer Data"). GTMStack does not claim any ownership of Customer Data. You grant GTMStack a limited, non-exclusive, worldwide license to use, process, and store Customer Data solely as necessary to provide and improve the Service in accordance with these Terms and our Privacy Policy.

Feedback: If you provide GTMStack with suggestions, ideas, feedback, or recommendations regarding the Service ("Feedback"), you grant GTMStack an irrevocable, perpetual, royalty-free, worldwide license to use, modify, and incorporate such Feedback into the Service without any obligation or compensation to you.

Aggregated Data: GTMStack may collect and use aggregated, anonymized, and de-identified data derived from your use of the Service for purposes of analytics, benchmarking, and improving the Service, provided that such data cannot reasonably be used to identify you or any individual.

8. Customer Data & Privacy

GTMStack takes the privacy and security of Customer Data seriously. Our collection, use, and handling of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference.

  • Data Processing: To the extent that GTMStack processes personal data on your behalf, GTMStack acts as a data processor and you act as the data controller (or equivalent designations under applicable law). GTMStack will process such personal data only in accordance with your documented instructions and applicable law.
  • GDPR Compliance: For customers subject to the General Data Protection Regulation (GDPR) or other applicable data protection laws, GTMStack offers a Data Processing Agreement (DPA) that complies with applicable requirements. You may request a DPA by contacting legal@gtmstack.app.
  • Data Security: GTMStack implements and maintains appropriate technical and organizational security measures to protect Customer Data against unauthorized access, alteration, disclosure, or destruction. These measures include encryption at rest and in transit, access controls, audit logging, and regular security assessments.
  • Self-Hosted Data: For self-hosted Enterprise deployments, Customer Data remains exclusively on the customer's own infrastructure. GTMStack does not have access to, and does not process, Customer Data stored in self-hosted environments unless the customer explicitly provides access for support purposes. The customer is solely responsible for the security, backup, and compliance of data within self-hosted deployments.
  • Data Breach Notification: In the event of a security breach affecting Customer Data in our cloud-hosted Service, GTMStack will notify affected customers without undue delay and in any event within seventy-two (72) hours of becoming aware of the breach, and will cooperate with any investigation as required by applicable law.

9. Self-Hosted Deployment Terms

The following additional terms apply to customers who license the self-hosted Enterprise version of the Service:

  • License Grant: Subject to your compliance with these Terms and payment of applicable fees, GTMStack grants you a limited, non-exclusive, non-transferable, non-sublicensable license to install, copy, and operate the self-hosted version of the Service on your own infrastructure solely for your internal business purposes during the subscription term.
  • No Redistribution: You shall not distribute, sublicense, lease, rent, sell, or otherwise make the self-hosted software available to any third party. You shall not use the self-hosted software to operate a managed service, hosting service, or service bureau for third parties.
  • Update Requirements: To maintain license compliance and ensure security, you must apply critical security patches and updates released by GTMStack within thirty (30) days of their release. GTMStack reserves the right to withhold support for deployments running versions that are more than two (2) major versions behind the current release.
  • Infrastructure Responsibility: You are solely responsible for provisioning, maintaining, and securing the infrastructure on which the self-hosted software operates, including but not limited to servers, networking, operating systems, databases, backups, disaster recovery, and compliance with applicable security standards.
  • License Verification: The self-hosted software may include license verification mechanisms. You agree not to tamper with, disable, or circumvent any such mechanisms. GTMStack may audit your deployment upon reasonable notice to verify compliance with these Terms.
  • Support: Support for self-hosted deployments is provided in accordance with the support tier included in your Enterprise subscription. Support scope is limited to issues with the GTMStack software itself and does not extend to customer infrastructure, networking, or third-party software.

10. Third-Party Integrations

The Service may integrate with or enable connections to third-party applications, platforms, and services ("Third-Party Services"), including but not limited to CRM systems, email providers, advertising platforms, and data enrichment tools.

  • Your use of any Third-Party Service is governed by that third party's terms of service and privacy policy. You are solely responsible for reviewing and complying with such terms.
  • GTMStack does not endorse, warrant, or assume any responsibility for Third-Party Services, including their availability, accuracy, security, or compliance with applicable law.
  • You authorize GTMStack to access and exchange data with Third-Party Services on your behalf when you enable an integration. You may revoke this authorization at any time by disconnecting the integration.
  • GTMStack shall not be liable for any loss, damage, or liability arising from the acts or omissions of any Third-Party Service provider or any changes to, interruptions of, or discontinuation of a Third-Party Service.

11. API Usage

GTMStack provides application programming interfaces ("APIs") to enable programmatic access to the Service, subject to the following terms:

  • Rate Limits: API usage is subject to rate limits that vary by subscription plan. Rate limits are published in our API documentation and may be updated from time to time. Exceeding rate limits may result in temporary throttling or blocking of API requests.
  • Fair Use: API access is provided for legitimate integration and automation purposes. You shall not use the API in any manner that places an unreasonable or disproportionate load on our infrastructure, degrades the experience for other users, or is inconsistent with the intended purpose of the API.
  • API Key Security: API keys are confidential credentials. You are responsible for securing your API keys and must not embed them in client-side code, public repositories, or any other publicly accessible locations. You must rotate API keys immediately if you suspect they have been compromised. GTMStack reserves the right to revoke API keys that have been publicly exposed or are associated with abusive behavior.
  • API Changes: GTMStack will use commercially reasonable efforts to maintain backward compatibility for API endpoints. Deprecated endpoints will be supported for at least six (6) months after deprecation notice. Breaking changes will be communicated at least ninety (90) days in advance where feasible.

12. Limitation of Liability

Liability Cap: To the maximum extent permitted by applicable law, the total aggregate liability of GTMStack arising out of or relating to these Terms or the Service, whether in contract, tort (including negligence), strict liability, or any other legal or equitable theory, shall not exceed the total fees actually paid by you to GTMStack during the twelve (12) months immediately preceding the event giving rise to the claim.

Exclusion of Indirect Damages: To the maximum extent permitted by applicable law, in no event shall GTMStack be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, including but not limited to damages for loss of profits, revenue, goodwill, data, business opportunities, or anticipated savings, regardless of whether GTMStack was advised of the possibility of such damages and regardless of the cause of action or the theory of liability.

Exceptions: Nothing in these Terms shall limit or exclude liability for: (a) death or personal injury caused by negligence; (b) fraud or fraudulent misrepresentation; (c) any liability that cannot be lawfully limited or excluded under applicable law; or (d) either party's indemnification obligations under Section 14.

13. Indemnification

Customer Indemnification: You agree to indemnify, defend, and hold harmless GTMStack and its officers, directors, employees, agents, successors, and assigns from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service in violation of these Terms; (b) your breach of any representation or warranty in these Terms; (c) your violation of applicable law; or (d) Customer Data, including any claim that Customer Data infringes or misappropriates a third party's intellectual property or other rights.

GTMStack Indemnification: GTMStack agrees to indemnify, defend, and hold harmless you and your officers, directors, employees, and agents from and against any third-party claim that the Service, as provided by GTMStack and used in accordance with these Terms, infringes or misappropriates such third party's intellectual property rights, and will pay any damages finally awarded or settlement amounts agreed to, provided that GTMStack shall have no obligation under this section to the extent a claim arises from: (a) modifications to the Service made by you or any third party; (b) your combination of the Service with products, services, or technologies not provided by GTMStack; (c) your use of the Service after being notified to cease; or (d) your use of a non-current version of the Service where the infringement would have been avoided by using a current version.

Procedure: The indemnified party shall: (a) promptly notify the indemnifying party in writing of any claim; (b) grant the indemnifying party sole control over the defense and settlement of the claim; and (c) provide reasonable cooperation at the indemnifying party's expense. Failure to provide timely notice shall not relieve the indemnifying party of its obligations except to the extent materially prejudiced by such failure.

14. Warranty Disclaimer

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, GTMSTACK EXPRESSLY DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING BUT NOT LIMITED TO THE IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.

GTMSTACK DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS, THAT DEFECTS WILL BE CORRECTED, OR THAT THE SERVICE WILL MEET YOUR SPECIFIC REQUIREMENTS OR EXPECTATIONS. ANY CONTENT OR DATA DOWNLOADED OR OTHERWISE OBTAINED THROUGH THE USE OF THE SERVICE IS ACCESSED AT YOUR OWN RISK, AND YOU WILL BE SOLELY RESPONSIBLE FOR ANY DAMAGE TO YOUR SYSTEMS OR LOSS OF DATA.

AI-POWERED FEATURES OF THE SERVICE, INCLUDING BUT NOT LIMITED TO CONTENT GENERATION, LEAD SCORING, AND PREDICTIVE ANALYTICS, ARE PROVIDED FOR INFORMATIONAL AND AUTOMATION PURPOSES ONLY. GTMSTACK DOES NOT GUARANTEE THE ACCURACY, COMPLETENESS, OR RELIABILITY OF AI-GENERATED OUTPUTS, AND YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VALIDATING SUCH OUTPUTS BEFORE RELYING UPON THEM.

15. Termination

  • Termination by Either Party: Either party may terminate these Terms and the associated subscription by providing thirty (30) days' prior written notice to the other party. For annual subscriptions, termination initiated by the customer mid-term does not entitle the customer to a prorated refund of prepaid fees unless otherwise specified herein.
  • Termination for Breach: Either party may terminate these Terms immediately upon written notice if the other party materially breaches these Terms and fails to cure such breach within fifteen (15) days of receiving written notice specifying the breach. GTMStack may terminate or suspend your access immediately without notice in cases involving violations of the Acceptable Use Policy, threats to the security or integrity of the Service, or illegal activity.
  • Data Export: Upon termination or expiration of your subscription, you will have a period of thirty (30) days to export your Customer Data from the Service. GTMStack will provide reasonable assistance with data export upon request. After the thirty (30) day export period, GTMStack may delete all Customer Data associated with your account in accordance with our data retention policies.
  • Refund Policy: If GTMStack terminates your account for reasons other than your breach, you will receive a prorated refund of any prepaid fees for the unused portion of the subscription term. If you terminate your account or if GTMStack terminates for your breach, no refund will be issued for prepaid fees. Monthly subscriptions terminated by the customer will remain active through the end of the current billing period.
  • Survival: Sections 7 (Intellectual Property), 8 (Customer Data & Privacy), 12 (Limitation of Liability), 13 (Indemnification), 14 (Warranty Disclaimer), 16 (Export Controls), 17 (Governing Law & Dispute Resolution), and 21 (Entire Agreement) shall survive any termination or expiration of these Terms.

16. Export Controls

The Service and any related technical data, software, or technology may be subject to United States export control laws and regulations, including the Export Administration Regulations (EAR) administered by the U.S. Department of Commerce, and economic sanctions programs administered by the U.S. Treasury Department's Office of Foreign Assets Control (OFAC).

You represent and warrant that: (a) you are not located in, organized under the laws of, or a resident of any country or territory that is subject to comprehensive U.S. sanctions (currently Cuba, Iran, North Korea, Syria, and the Crimea, Donetsk, and Luhansk regions of Ukraine); (b) you are not identified on any U.S. government restricted party list, including the Specially Designated Nationals and Blocked Persons List or the Entity List; and (c) you will not use, export, re-export, or transfer the Service in violation of any applicable export control laws or sanctions regulations. You agree to comply with all applicable export control and sanctions laws in your use of the Service.

17. Governing Law & Dispute Resolution

Governing Law: These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of laws principles.

Arbitration: Any dispute, controversy, or claim arising out of or relating to these Terms or the Service, including its formation, interpretation, breach, or termination, shall be resolved by binding arbitration administered by the American Arbitration Association ("AAA") in accordance with its Commercial Arbitration Rules. The arbitration shall be conducted by a single arbitrator in Wilmington, Delaware. The language of the arbitration shall be English. The arbitrator's award shall be final and binding, and judgment upon the award may be entered in any court of competent jurisdiction.

Injunctive Relief: Notwithstanding the foregoing, either party may seek temporary or preliminary injunctive relief or other equitable remedies in any court of competent jurisdiction to prevent irreparable harm, including but not limited to the unauthorized use or disclosure of proprietary information or trade secrets, without first submitting the matter to arbitration and without posting a bond or other security.

Class Action Waiver: You agree that any arbitration or proceeding shall be conducted only on an individual basis and not in a class, consolidated, or representative action. If for any reason a claim proceeds in court rather than in arbitration, both parties waive the right to a jury trial.

18. Force Majeure

Neither party shall be liable for any failure or delay in performing its obligations under these Terms (other than payment obligations) to the extent that such failure or delay results from circumstances beyond the party's reasonable control, including but not limited to: acts of God, natural disasters, epidemics or pandemics, war, terrorism, riots, civil unrest, government actions or orders, labor disputes or strikes, fire, flood, earthquake, power outages, telecommunications failures, cyberattacks or distributed denial-of-service attacks on infrastructure beyond the affected party's control, or failures of third-party hosting or cloud service providers.

The affected party shall provide prompt written notice to the other party of the Force Majeure event and shall use commercially reasonable efforts to mitigate the impact and resume performance as soon as practicable. If a Force Majeure event continues for more than sixty (60) consecutive days, either party may terminate the affected portion of these Terms upon written notice without liability.

19. Modifications to Terms

GTMStack reserves the right to modify these Terms at any time. For material changes, GTMStack will provide at least thirty (30) days' prior notice through one or more of the following methods: email notification to the address associated with your account, a prominent notice on the Service, or a notification within the Service's administrative dashboard.

Material changes include, but are not limited to, changes that affect your rights or obligations, modifications to the limitation of liability or indemnification provisions, changes to the dispute resolution mechanism, or significant changes to how Customer Data is handled.

Your continued use of the Service after the effective date of any modifications constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must discontinue your use of the Service before the changes take effect. Non-material changes, such as typographical corrections or clarifications that do not alter the substance of the Terms, may be made without prior notice.

20. Severability & Waiver

Severability: If any provision of these Terms is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction or arbitrator, such provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent. If modification is not possible, the provision shall be severed from these Terms. The invalidity, illegality, or unenforceability of any provision shall not affect the validity, legality, or enforceability of any other provision, and the remaining provisions shall continue in full force and effect.

Waiver: The failure of either party to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. No waiver shall be effective unless made in writing and signed by the waiving party. A waiver of any right or provision on one occasion shall not be deemed a waiver of such right or provision on any subsequent occasion.

21. Entire Agreement

These Terms, together with the Privacy Policy, any Data Processing Agreement executed between the parties, any Order Form or Statement of Work referencing these Terms, and any other documents expressly incorporated by reference herein, constitute the entire agreement between you and GTMStack with respect to the subject matter hereof and supersede all prior and contemporaneous understandings, agreements, representations, and warranties, both written and oral, regarding such subject matter.

In the event of a conflict between these Terms and any Order Form or Statement of Work, the Order Form or Statement of Work shall control solely with respect to the specific subject matter of that document. No terms or conditions contained in any purchase order, invoice, or other business document submitted by you shall modify or supplement these Terms, and any such terms or conditions are hereby rejected.
